About Our President & CEO
Joseph A. Carrabba is the former Chairman, President and Chief Executive Officer of Cliffs Natural Resources Inc., where he served in executive capacities from 2005 to 2013.
Prior to joining Cliffs Natural Resources Inc., Mr. Carrabba gained broad experience in the mining industry throughout Canada, the United States, Asia, Australia and Europe. He served for over 20 years in a variety of leadership capacities at Rio Tinto, a global mining company, including as President and Chief Operating Officer of Rio Tinto’s Diavik Diamond Mines, Inc. in the Northwest Territories.

Mr. Carrabba holds a Bachelor of Arts from Capital University in Ohio and a Master of Business Administration from Frostburg State University in Maryland.

• Financial Expertise — Extensive financial management experience in senior executive roles.
• Operational and Industry Expertise — Operational experience in the mining industry, including as former President and Chief Operating Officer of Cliffs Natural Resources Inc., former President and Chief Operating Officer of Diavik Diamond Mines, Inc. and former General Manager of Weipa Bauxite Operation of Comalco Aluminum. Awarded a Bachelor’s Degree in Geology from Capital University and a MBA from Frostburg State University.
• International Experience — Extensive senior executive experience working with multinational mining operations, including with Cliffs Natural Resources Inc., which has operations in North America, Australia, Latin America and Asia.
• Health, Safety, Environmental and Social Responsibility Experience — Experience serving on Newmont Operations and Safety Committee and the Environmental and Social Responsibility Committee and current Chair of Newmont’s Safety and Sustainability Committee. Current service on the Safety Committee of Aecon.
• Compensation Expertise — Experience serving as a member of numerous Company Leadership Development and Compensation Committees. Participation in compensation, benefits and related decisions in senior executive roles. Current Chair of the Compensation Committee of NioCorp Developments Ltd.

Peter Leger, Director/Consultant (Former CEO/President May 2006 - January 2020)
Peter Leger brings to Teras over 35 years of building successful businesses and the experience he has gained through the use of creative strategies and sound practices. He demonstrates leadership through patience matched with an abundant level of enthusiasm and energy. Throughout his career he has been called upon to raise millions of dollars of equity and debt, and has built companies to the position to take them public. Mr. Leger has held positions of Vice President and Director of Radar Acquisitions Corp (Name changed to CanAm Coal Corp), a publicly traded company. Peter was a founder and director of TIEX a publicly traded company acquired by Bullion Gold Resources Corp in 2012; as well he was a founder of Vindt Resources Inc. which amalgamated with Shear Wind Inc. a publicly traded company and acquired by Sprott Power in 2012. All of the above companies were listed on the TSX-Venture Exchange.
Kuldip C. Baid, C.A., Chief Financial Officer
Mr. Baid C.A., brings with him over 30 years experience in all aspects of accounting. Mr. Baid graduated from the University of Alberta in 1976 with a B. Comm (with distinction, Dean’s list). Kuldip is a C.A. and has been a member of the Canadian Institute of Chartered Accountants since 1979
During Mr. Baid’s Professional experience he has:
– Prepared complex consolidated financial statements including quarterly and annual reports for up to 30 subsidiaries.
– Managed the preparation of corporate financial statements by supervising accounting staff and reviewing and approving financial statements prior to issuance.
– Undertook a variety of special assignments including winding-up of subsidiary companies and a detailed study of the feasibility of implementing a current cost accounting system for financial reporting purposes.
– Supervised professional accountants and support staff, planning work assignments, training as required and evaluating performance.
– Preparation and filing of 10Q’s and 10K’s with the Securities and Exchange Commissions and Annual and Quarterly filings in Canada.
– Managed auditing engagements including scheduling and supervision of staff.
– Prepared and filed income and capital tax returns.
– Prepared and consolidated budgets and forecasts.
– Developed, implemented and maintained accounting policies and procedures by reviewing existing guidelines and new CICA pronouncements.
– Dealing with U.S. and Canadian Securities Commissions and Stock Exchanges re corporate and shareholder matters and ensuring compliance with regulations.
– Managing the treasury function. Proficient in Quick Books and tax programs.

Dr. Dennis LaPoint, Director
Dr. LaPoint has over 30 years experience in mining exploration. Dr. LaPoint has worked for a variety of companies including Texasgulf, Cominco and Cambior Inc. (IAMgold). Dr. LaPoint is President and owner of Appalachian Resources, LLC where he provides project management and geologic services to the mineral industry and investors. Dr. LaPoint graduated from the University of Iowa in 1968 with a degree in geology. Dr. LaPoint continued his education earning a Masters of Science Degree from the University of Montana in 1971 and a PhD in geology in 1979 from the University of Colorado. Dr. LaPoint is a member of a number of professional organizations and is a registered Geologist in North Carolina, South Carolina and Tennessee. He was appointed by the Governor of North Carolina to the Licensing Board for Geologists. He is Past President of the Carolina Geological Society and has been active in the Society of Exploration Geologists and Society of Mining Engineers. He is an Adjunct Professor at the University of North Carolina and previously at Elon University.
Micheal Attaway, P. Eng, Director
Mike Attaway, PE, has over 35 years experience in developing and operating mines; including senior management, engineering, environmental permitting and compliance, mine evaluation and government relations. He has participated in the construction and start-up of six mines Three of those mines were gold mines in California: the McLaughlin Mine, the Colosseum Mine and the Castle Mountain Mine. . His mining experience in California totals 17 years. Mr. Attaway also has successfully operated a heap leach gold mine near the Arctic Circle. As well, Mike has helped develop Pulp Agglomeration in the gold industry increasing recovery and eliminating the need for a tailing pond. He has also received numerous safety and environmental awards.
Mike has worked in the western US, Mexico, the Yukon Territory and Chile. He is currently the COO of Lincoln Mining Company. Mike is a registered professional mining engineer. He has a BS in Mining Engineering from the University of Arizona and an MBA in Management from Golden Gate University.
Peter Mejstrick, PH.D Geology, Director
In 1977 Peter attended the University of BC, Vancouver for a Ph.D. in Geology.Mr. Mejstrick has more than thirty years of experience in precious, base metal, and critical metal exploration and development and has held senior positions with companies such as Agnico-Eagle Mines, Yamana Gold, Meridian Gold, Echo Bay Mines and FMC Gold Company. He has vast experience in acquisitions of mineral properties taking them from early stages to the delineation of ore reserves. In 1971 Mr. Mejstrick received a B.A in Biology and Chemistry from Bowdoin College and completed his M.S. Geology degree in 1975 from the University of Montana. In 1977 Peter attended the University of BC, Vancouver for a Ph.D. in Geology.
Lawrence J. O'Connor, B.Sc Geology, VP of Project Development.
Mr. Lawrence J. O’Connor has worked for 35 years in the natural resource business and is highly experienced in exploration, development and mine operations. Mr. O’Connor was Vice President of Operations for Western Goldfields, Inc. tasked with reinitiating mine operations at Mesquite Mine in southern California. He also held the positions of CEO and Director of Sonoran Gold, Ltd., President of TerraBor Inc. and Nevada Colca Gold Inc. He was a key operational participant in the start-up of Bema Gold and Eldorado Gold Corporations. Mr. O’Connor has diverse operational experience in open pit and underground mining including exploration, ore control, mine engineering, process management, reclamation closure and operations general management. He holds a B.Sc. Geology, is a “Qualified Person” in accordance with the Canadian National Instrument 43-101.
Thomas Mancuso, B.S Geology, M.S Geology, Consultant and Technical Expert, Retired as VP/Director
Mr. Thomas K. (Toby) Mancuso is a well-respected mine development geologist with more than 40 years of experience in exploration, operations and management of various mining companies. Mr. Mancuso previously held the position of President and CEO of Western Goldfields Inc. (now New Gold Inc.) and is credited with purchasing the operating Mesquite Mine in southern California from Newmont. Mr. Mancuso was also Senior Geologist for Freeport Gold Company and Chief Geologist for Kennecott Corporation where he specialized in advancing projects from exploration to production. At Kennecott, he began managing the Cahuilla project in 1993 and has been involved with the property to date. Mr. Mancuso is presently Managing Director for NexGen Mining, Inc. and operates his own company, Mancuso Resource Development Services, LLC. He received his M.S. Geology at the University of Idaho School of Mines and B.SC. Geology from Bowling Green State University.
Paul Stubbe, B.Sc, Geological Eng, VP of Project Development.
Mr. Paul Stubbe has more than 30 years of experience in the mineral exploration and mining industries. Mr. Stubbe holds a Bachelor of Science degree in Geological Engineering from the Colorado School of Mines. Mr. Stubbe has been the Project Geologist/Manager of the Cahuilla Project in Imperial County, California for several years before accepting the VP position. He has designed and directed the exploration drilling programs which are credited with locating the highest grade gold intercepts found to date on the project. He also developed a comprehensive integrated geologic model of the epithermal gold-silver system at Cahuilla that will be used to further guide exploration and development programs.
Mr. Stubbe began his career as an exploration geologist with Westmont Mining Inc. conducting grassroots exploration for gold deposits in Nevada’s prolific Carlin Trend. He has extensive experience in porphyry copper exploration and development as a consulting geologist with Magma Copper Company at Ruth, Nevada and with BHP Tintaya in South America at their copper mine in southern Peru. Mr. Stubbe has explored for base and precious metals on six of the seven continents and has organized several programs integrating geophysical, geochemical and geologic data resulting in the successful targeting, drilling and delineation of mineral resources. Although his primary focus has been the search for gold and copper deposits, Mr. Stubbe also has experience in uranium exploration and on diamond projects in northern Canada.
Dr. William C. Bagby, PH.D., Advisor to the Board of Directors
Dr. Bagby has more than 35 years’ experience in the minerals business and is currently the Principal of WC Bagby Economic Geology, which specializes in mineral deposit evaluation, appraisal and mineral resource assessment. Prior to operating his own company, Dr. Bagby served as a research and economic geologist for the United States Geological Survey for ten years including Branch Chief, Western Mineral Resources at Menlo Park, California. Dr. Bagby has also held the position of economic geologist with Chevron Resources and Homestake Mining Company (now Barrick Gold Corp.). He received his B.A. in Biology at the University of California, San Diego in 1971 and Ph.D. in Earth Science at the University of California, Santa Cruz in 1979.
Patrick Fahey, P.GEO, Technical Advisor to the Board
Patrick Louis Fahey, P. Geo, M.Sc. has over 30 years of international exploration experience in gold and base metals ranging from grass roots through development stage. 2005 to 2011, Pat served as Vice President, Exploration and Chief Geologist for Quadra Mining Ltd. and Quadra FNX Mining Ltd (now KGHM International). Under Pat’s lead, the Quadra exploration team discovered and drilled out the major new Sierra Gorda porphyry copper deposit in Chile, expected to come on stream in mid 2014. His team also added major new reserves extending the mine life of Quadra’s Robinson mine near Ely, Nevada. In the 1990’s, Pat was Manager of Southwest Exploration for Magma Copper and then Principal Geologist for BHP Minerals leading a major porphyry copper generative program in Arizona and Sonora. He has authored and co-authored a number of papers and abstracts on geology and ore deposits; and he is a Member of the Geological Society of America, and a Fellow of the Society of Economic Geologists.
James G. Clark, Ph.D., Technical Advisor to the Board
Dr. Clark has more than 30 years of mining industry experience, with extensive supervisory and project management experience in exploration programs for precious and base metals, specialty metals, and industrial minerals. He is the Principal of Applied Petrographics, a company that provides petrographic and mineralogical services to the mining industry for purposes of exploration and mineral processing. Dr. Clark played a key role in the initial discovery of the Bear Lodge Critical Rare Earth resource in northeastern Wyoming. He managed all aspects of Rare Element’s successful exploration program on the property from the exploration to the development stage. He has specific expertise in the application of petrography and mineralogy to exploration and mineral processing, and has developed cathodoluminescence (CL) petrographic techniques that facilitate exploration of epithermal Au-Ag vein systems. During his career Dr. Clark has worked or consulted for a variety of mining companies, including Molycorp, Barrick Gold, Newmont Mining, Hecla Mining, AngloGold, and CVRD, as well as many smaller companies. He holds a Ph.D. in volcanic geology and igneous petrology from the University of Oregon, an M.S. in geological oceanography from Oregon State University, and a B.S. in geology from The Ohio State University. He is a licensed geologist in the state of Washington.
Jim Hutch, P. Eng, FEC, Advisor to the Board
Mr. Hutch was born in Saskatchewan and is a graduate from the University of Saskatchewan with a Bachelor of Science in Civil Engineering. He presently maintains his designation as a registered professional engineer. Prior to joining Teras’ board, Mr. Hutch served on the Board of Directors of Goldcorp Inc. from 1998 to 2004. In this capacity, he was Lead Director, Chaired the Independent Directors Committee, Chaired the Health, Safety, and Environment Committee, and participated in the Special Committees that successfully fought off a hostile takeover bid by Glamis Gold and successfully completed the acquisition of Wheaton River Minerals. After retiring from his 12 year career as leader at the Saskatchewan Research Council. Mr. Hutch has been, and continues to be, involved in the development of, and investment in, enterprises involving entrepreneurs, innovation and technology commercialization. He serves in leading positions in professional engineering organizations, advisory boards, and boards of directors. He is active in national, provincial and local affairs.
Wayne D. Pineau, Corporate Secretary
Mr. Pineau started his career in the information technology industry and earned Microsoft, Novell and numerous other manufacturer certifications. After twenty years in various information technology supervisory and management roles, Mr. Pineau moved onto project management and successfully completed over fifty information technology security projects over a seven year span. Mr. Pineau obtained his Professional Project Management (PMP) certification and has successfully managed over $100 million in infrastructure projects for a major transportation company.
